Spin Mgmt Get Cruise Control, Inc. ("Spin Mgmt Get Cruise Control"), a New York company with offices at 4140 Austin Blvd, Island Park, NY 11558, operates a communications platform for automotive dealerships (the "Platform") which connects certain automotive dealerships (the "Dealership") with members of the public. By using the Platform in any manner, including, but not limited to:

• Interacting with the Live Chat function;
• Registering for Virtual Retailing;
• Claiming an offer through the Platform;
• Sending a text to Spin Mgmt Get Cruise Control or the Dealership;
• Permitting a Dealership to request and review Your credit information in order to determine Your credit eligibility for financing or to process Your application for financing,

you ("You," inclusive of any organization or party you act for) are agreeing to these terms of service (the "Terms"). The Terms form a legally binding agreement concerning Your use of the Platform and communications with the Dealership and Spin Mgmt Get Cruise Control.

In operating the Platform, Spin Mgmt Get Cruise Control is a service provider for the Dealership and all communications You have through the Platform are processed by Spin Mgmt Get Cruise Control for the Dealership. In all communications between You and Spin Mgmt Get Cruise Control, Spin Mgmt Get Cruise Control is acting on behalf of the Dealership. Spin Mgmt Get Cruise Control reserves the right to update these Terms at any time without notification. When You use the Platform, You are agreeing to the Terms as they are published at the time of that particular use.

You should know that:

• These Terms may limit Your ability to make claims against Spin Mgmt Get Cruise Control in court and require arbitration of disputes;
• These Terms limit Spin Mgmt Get Cruise Control's liability to You to a maximum of $100.00;

If You make use of the Platform when shopping for or purchasing a vehicle, You are dealing and contracting directly with the Dealership. Spin Mgmt Get Cruise Control is not a party to any agreement between You and the Dealership.

Spin Mgmt Get Cruise Control may work with third parties, including lenders, credit agencies, and vehicle assessors ("Third-Party Partners"). Spin Mgmt Get Cruise Control is not responsible for any information provided through the Platform by the Dealership or Third-Party Partners and does not guarantee accuracy, pricing, availability, or completeness of any information.

The Chat feature may utilize artificial intelligence and machine learning technologies. Responses are generated automatically and may be inaccurate, incomplete, or outdated. The Chat feature does not provide legal, financial, or professional advice. Do not share confidential or sensitive information. Inputs and outputs may be processed by third-party service providers and stored or processed in other jurisdictions, subject to our Privacy Policy.

2. Your Use of the Platform

You may only use the Platform to communicate with the Dealership and authorized Third-Party Partners. Spin Mgmt Get Cruise Control reserves the right to suspend or terminate access at any time. Spin Mgmt Get Cruise Control may store chat, SMS, and communication transcripts. You acknowledge that the Platform may contain third-party content and Spin Mgmt Get Cruise Control is not responsible for the accuracy, legality, or appropriateness of such content.

You agree not to use the Platform to:

• Infringe intellectual property or privacy rights;
• Harass, impersonate, or defraud others;

You agree to indemnify and hold harmless Spin Mgmt Get Cruise Control and its affiliates from any claims arising out of Your use of the Platform or violation of these Terms.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPIN MGMT GET CRUISE CONTROL'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED $100.00. SPIN MGMT GET CRUISE CONTROL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

6. Disputes

All disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration shall be conducted on an individual basis only. No class actions are permitted.

7. General Terms

These Terms constitute the entire agreement between You and Spin Mgmt Get Cruise Control and are governed by the laws of the State of New York, without regard to conflict of law principles. If any provision is held invalid, the remaining provisions remain in effect.
